Oregon Association of DECA Constitution

Article I. Name
Section 1. The official name of this organization shall be the Oregon Association of DECA, and may be referred to as Oregon DECA.
Section 1. The purposes of this Association are:
a. To assist local chapters in the growth and development of DECA.
b. To further develop a respect for education in the field of marketing and management, which will contribute to occupational competence.
c. To promote understanding and appreciation of the responsibilities of citizenship in our free, competitive enterprise system.
d. To develop progressive leadership that is competent, aggressive, self-reliant, and cooperative in the field of marketing.
Section 1. Oregon DECA is an association of local chapters within the State of Oregon.
Section 2. Oregon DECA shall be composed of three divisions including: High School, Alumni, and Professional. Student members of the High School Division shall be governed by an Executive Council of elected officers.
Section 3. The administration of Oregon DECA shall be vested in a Board of Advisors, which consists of the State Specialist responsible for Marketing Education, the Executive Director, President of the Oregon Marketing Education Association, six elected High School Division chapter advisors, and the current President of the High School Division of Oregon DECA.
Section 4. The six High School Division chapter advisors shall be elected by a majority vote of the chapter advisors during the State Career Development Conference.
The six advisors shall be elected for a term of two years, three positions filled annually on an alternating basis. All members, except the OMEA President, shall have voting privileges. A quorum shall consist of six members.
Section 5. The Board of Advisors is responsible for the operation of the Executive Council and may intercede in the Council affairs for legal, educational, fiduciary, or other Advisory purposes.
Section 6. The Executive Council shall consist of the officers of the Oregon DECA High School Division.
a. The Executive Council may appoint such committees, as they deem necessary for the operation of that division. The Advisor of the designated chairman for each committee shall automatically become advisor to that committee, unless that advisor declines in writing.
b. The Executive Director shall be advisor to the High School Division Executive Council. In addition, the respective advisors of the officers shall serve in an ex-officio capacity, unless any of those advisors decline in writing.
Section 7. Charters shall be issued to the local DECA chapters through DECA Inc., at the pleasure of the Oregon State School Board, and recognized by the Board of Advisors.
Section 1. The members of Oregon DECA shall be members of chartered chapters of Oregon DECA.
Section 2. New chapters wishing to be formally recognized as chartered chapters of Oregon DECA must submit the following to the Executive Director:
a. A written request asking to be approved as a duly chartered chapter of Oregon DECA.
b. A completed copy of the DECA Inc. membership roster.
c. Evidence of full payment of all state and DECA Inc. dues within the specified time-lines.
d. A copy of the Chapter Constitution and Bylaws.
The Executive Director will then present a motion before the Board of Advisors for approval of the chapter request filed by the chapter. The motion must pass by a simple majority.
Section 3. Classes of membership recognized by the Oregon DECA are:
a. Supporting Members. These shall be current State and DECA Inc. dues paid members from either the Professional or Alumni Divisions of Oregon DECA.
b. Honorary Members. These shall be leaders in the field of education, business, or government, recommended by a local chapter or division Executive Council, and must be approved by the Board of Advisors.
Section 1. Members shall exercise their voting privileges in the State Association through duly elected Voting Delegates of each chapter of Oregon DECA. Apportionment of the number of Voting Delegates will be determined annually as described in the Bylaws of the High School Division.
Section 2. Delegates shall be entitled to individual votes, as described in the Bylaws of the High School Division.
Section 1. Each active division of Oregon DECA shall conduct a minimum of one meeting annually for the purpose of conducting the organization’s business.
Section 2. The Executive Council shall meet as scheduled, and with the approval of the Board of Advisors, may call special meetings.
Section 3. Parliamentary Procedure for all meetings of Oregon DECA shall be governed by Robert’s Rules of Order, Revised.
Section 1. Officers of the High School Division shall be elected by a majority vote of the Voting Delegates at an annual business meeting of that division.
Section 2. Individuals elected as State Officers at one annual meeting shall hold office until the close of the next annual business meeting.
Section 1. Advisory groups to assist Oregon DECA’s growth and development may be appointed as deemed necessary by the Board of Advisors.
Section 1. The Board of Advisors shall manage all Oregon DECA finances, determine financial policy, approve all budgets, and will furnish an annual financial statement to each local chapter.
Section 2. The Board of Advisors shall have the authority to levy fees to cover operational expenses of Oregon DECA. All levied fees will be subject to approval by a simple majority of the votes cast by the advisors of Oregon DECA. This vote will occur within thirty days of the assessment.
Section 1. The emblem of Oregon DECA shall be a geographical outline of the State of Oregon with the words, “Oregon Association” and the DECA diamond superimposed.
Section 2. The colors of the Oregon DECA shall be the same as those adopted by DECA Inc.
Section 1. To amend this Constitution, a proposed amendment must be submitted in writing at least thirty (30) days prior to the annual meeting to all chapters and the chairman of the Board of Advisors by the chapter proposing the amendment. The proposed amendment must then be considered and approved by a two-thirds majority of the Voting Delegates present at that annual meeting. Within thirty days after the annual business meeting, the Executive Director must notify all chapters in writing of the amendment(s).
Section 1. In the event of dissolution, all assets real and personal shall be distributed to such organizations as are qualified as tax exempt under Section 501 (c)(3) of the Internal Revenue Code or the corresponding provisions of a future United States Internal Revenue Law.
Article XIII. Rules, Regulations, and Bylaws
Section 1. Such rules, regulations, and Bylaws, as are deemed necessary for the proper conduct of this organization, shall be adopted.
Section 2. No rules, regulations, or Bylaws shall be adopted which are contrary to this Constitution.
